Waaree Energies Limited’s board approved on 31 October 2026 the purchase of 33.34% of Wictor Sealz Private Limited, an Indian solar module sealant company incorporated in January 2026 that has yet to begin operations. The Mumbai-based module manufacturer plans to buy 3,334 equity shares from Vimac Impex Private Limited for ₹33,340 and then invest a further ₹5 crore. The stock exchange disclosure says the aim is to reduce dependence on imported sealant and strengthen supply chain integration.
Key Details
The acquisition will run through a Share Purchase-cum-Shareholders’ Agreement, proposed to be executed among Waaree, Wictor Sealz and Vimac. The disclosure sets out these terms:
- Shares: 3,334 equity shares of ₹10 face value
- Consideration: cash, at ₹33,340 in total
- Further investment: ₹5 crore after the acquisition, with a long stop date of 31 March 2027
- Expected completion: Financial Year 2026-27
- Regulatory approvals: not applicable
- Related party status: not a related party transaction
The price works out at ₹10 a share, the stated face value. Wictor Sealz is not related to Waaree’s promoter or promoter group, the filing states. Wictor Sealz was incorporated in India on 5 January 2026. It works in solar module sealants and related products, is yet to commence business operations, and the filing gives no turnover. The filing does not name the other shareholders, the planned capacity or the location of any plant. It also does not disclose how the ₹5 crore will be used, whether it will be equity or another instrument, or what share of Waaree’s sealant needs the company might meet.
Reasons Given
Waaree classes the target within the solar module sealants and speciality chemicals industry. The company said the investment is meant to strengthen supply chain integration, reduce dependence on imported solar module sealant and improve supply security. It also expects long-term strategic value for stakeholders. The disclosure names no planned customers and gives no date for first production.
Management Comment
The filing carries no management comment on Wictor Sealz. Commenting on results on 27 October 2026, Whole Time Director and Chief Executive Officer Jignesh Rathod said the company would keep expanding its capabilities across the clean energy value chain. Rathod said the company expected its battery storage, transformer, inverter, transmission and green hydrogen businesses to contribute to future growth.
Policy Backdrop
Waaree’s investor presentation of October 2026 sets out the supply rules shaping its upstream moves. It lists the Approved List of Models and Manufacturers (ALMM) as covering modules under List-I, cells under List-II and, as a proposal, wafers under List-III from June 2028. Sealants are not named in that summary. The presentation separately lists backward integration among the company’s strategic priorities.
