Enviro Infra Engineers Limited (EIEL), through its wholly owned subsidiary EIE Renewables Private Limited, has entered into a definitive agreement for the phased acquisition of Suyog Urja Limited. The transaction, valued at a total of ₹311 crore, represents a strategic foray into the Wind Energy Engineering, Procurement, and Construction (EPC) segment. This acquisition positions EIEL as an integrated renewable energy platform, extending its operational reach beyond its core water infrastructure business into wind, solar, and energy storage solutions.

Acquisition Structure and Financial Terms

The acquisition is structured to achieve 100% ownership through multiple tranches linked to performance metrics:

  • Initial Tranche: EIEL will acquire a 51% controlling stake for a consideration of ₹111 crore.
  • Subsequent Tranches: The company will acquire the remaining 49% stake in two stages: 24% in 2027 and 25% in 2028.
  • Funding Mechanism: The transaction is financed through a 50:50 debt-to-equity ratio, utilizing a mix of debt and internal accruals.
  • Milestone Linkage: Subsequent payments for the remaining equity are contingent upon the achievement of predefined performance milestones.

Suyog Urja Limited is a wind EPC specialist with 18 years of industry experience. The company maintains a geographic presence in Maharashtra, Karnataka, and Madhya Pradesh, with a track record of completing more than 500 MW of projects.

  • Operational Model: Asset-light and zero-debt.
  • Current Order Book: ₹650 crore.
  • Projects Under Execution: 600 MW.
  • Projected FY26 Revenue: ₹355 crore.

Strategic Impact and Operational Continuity

This acquisition facilitates the evolution of EIEL from an entity focused primarily on water infrastructure into a multi-vertical platform operating across water, solar, Battery Energy Storage Systems (BESS), and wind energy. A key objective of this strategic pivot is to capture broader energy transition opportunities by moving beyond government-only projects to serve a diversified client base in the private sector.

To ensure operational continuity and the seamless integration of wind EPC capabilities, the founder of Suyog Urja, Mr. Chetraj Khadka, will remain as the CEO of the wind division for a period of three years.

The merger updates the financial and operational scale of Enviro Infra Engineers, providing enhanced revenue visibility through an expanded infrastructure footprint.
